Delaware has streamlined the legal filings and liability for corporations. It assures corporate management that they can deal with law suits and changes quickly and at a lower cost than in other states.

I'm not exactly sure why there are incorporated companies in Delaware but I know for a fact that many large companies base their operations or move their operations for tax purposes.
