If they're traded on a U.S. or Britiish or Canadian exchange, they will have an announcement...and often a rights offering filed. The exception is when they convert a debt (say a bond or loan ) to another form of stock..they may get shareholder approval to negotiate the conversion of some debt to a preferred, with the prior bond-holder or loan owner agreeing to subscribe to the entire offering. You can usually get this info at the company's investor relations site.
